　　生產型企業

　　1、投資方銀行資信證明原件2份;

　　The Credit Letter of the investor from bank;(2 origins)

　　2、投資方開業證明復印件;

　　The copy of the Certificate of Corporation

　　3、投資公司開業證明或投資人護照的公證認證原件2份(投資方于當地公證處公證再于中國大使館認證);

　　The Notarization certificate and the Verification certificate of the investing company or individuals

　　(2 origins)(First Notarized at the local Notary Public ,then Verified at the Chinese Consultancy)

　　4、擬設立公司成立董事會的提供董事會成員名單及身份證明復印件;若設執行董事的須提供執行董事身份證明復印件;

　　If the Board is to be set up,the list of the board and the ID certificates of the members should be supplied;

　　if the CEO is to be set up,the ID certificate of the CEO should be supplied;

　　5、擬設立公司監事身份證明復印件;

　　The ID certificate of the supervisor should be supplied;

　　6、擬設立公司法定代表人身份證明復印件及一寸彩照三張;

　　The one-inch color photos of the Legal Representative of the planned company and the copy of his/her ID certificate;

　　7、投資公司成立一年以上的須提供上一年度的審計報告復印件;

　　If the investing company has been set up for more than one year,the annual Audit Report of last year should be supplied;

　　8、若投資公司法定代表人或投資人不便簽署有關材料的須授權他人代為簽署有關材料，提供授權書原件3份;

　　If it is not convinient for the Legal Representative of the Investing company to sign the related materials,

　　he/she can authorise others but the Authorisation Letter is needed(3 origins)

　　9、投資公司簡介或投資人履歷;

　　The introduction of the investing company or the Resume of the individual investor;

　　10、擬設立公司經營范圍、進出口商品目錄。

　　The business scope and the list of export and import commodity;

　　另有其它材料由我方準備，投資方簽字。

　　Other materials needed will prepared by our company .

　　注：食品生產加工型企業在辦理執照前須辦理環保批文和食品衛生許可證。

　　Attention:Before applying the Business License ,a Food Manufactural Factry should first

　　apply for the approval from the Environmental Bureau and Shanghai Food and Drug Administration

　　流程：

　　Procedures:

　　1、查明(在名稱無重復的情況下須5個工作日);

　　Name Apprval(5working days if the names are not repeated with other companies)

　　2、報送外商投資委員會申請批復和批準證書(批復在材料齊全的情況下約30個工作日);

　　Apply for Approval Certificate from ShanghaiForeign Investment Commission(30 working days if the materials are well prepared)

　　3、在名稱核準后辦理環保批文(一切都合格的情況下約40個工作日);

　　After the name is approved ,apply for the approval from the Environmental Bureau

　　(about 40 working days if the materials are well prepared)

　　4、報送工商局申請營業執照(材料齊全的情況下約10個工作日);

　　Apply for the Business License from Shanghai Administration of Industry and Commerce

　　(About 10 working days if the materials are well prepared)

　　5、申請組織機構代碼(2個工作日);

　　Apply for Organization Code Certificate(2 working days)

　　6、申請統計證(1個工作日);

　　Apply fot Statistic Certificate(1 working day)

　　7、對外經濟貿易委員會備案申請進出口權(須培訓，培訓合格后領批復);

　　Apply for the right of import and export(after the training ,the planned company can get the approval)

　　8、申請稅務登記證(約15個工作日，須檢查注冊地是否合格);

　　Apply for Tax Registration Certificate(About 15 working days if the registrated site is qualified)

　　9、外匯備案(1個工作日);

　　Records of Foreign Exchange(1 working day)

　　10、客戶開設資本金帳戶及基本帳戶;

　　Open Foreign exchange Capital Account and Primary Account

　　11、財政登記證(1個工作日);

　　Apply for Fiscal Registration Certificate(About 15 working days)

　　12、海關登記證(約5個工作日);

　　Apply for Customs Registraion Certificate(About 5 working days)

　　13、申請一般納稅人資格(約30個工作日)。
