商務英語會話：銷售代理 代理期限和傭金
Botany Bay已允諾負擔四成的行銷費用，也同意每年給付維修費用。接下來，Robert打算就傭金與合約期限等關鍵性問題與Mark進行磋商。
M: We're interested in an agreement with Pacer, if we can agree on the major issues.
R: That's great! How about hashing them out (詳談) now? We feel the trial period should be for a minimum of two years.
M: If total sales are good after the first year, we can talk about a long-term agreement.
R: We'd like to agree, but one year would be too early to judge. We'd need two years to develop the market (開發市場). Anything less doesn't interest us.
M: O.K. But any new agreement will depend on yearly sales. We'll use a 45% increase as base.
R: As I said, we project that we can increase sales by 30% to 40% the first year. 45% over two years is possible, but we'd want a 15% commission rate (傭金).
M: 15% on this products a little high. If we agree to a 35% sales increase, could you come down to 12%?
R: I can't give you the thumbs up (同意) right now, but I think it will be alright.
M: Good. As a final point, we must get a guarantee that you will not sell for our competitor while you are our agent.
R: I see that would create a conflict of interest (利益沖突). We are not interested in doing business with anyone but Botany Bay.
M: 若能在關鍵問題上達成協議，敝公司有意與Pacer簽約。
R: 那太好了！現在就細談如何？我們認為試賣期限應該至少兩年。
M: 如果頭一年的總銷售量不錯，我們可以再商量長期的協議。

hash out 詳談；仔細討論
"hash"若作名詞，是指碎肉加馬鈴薯所烹調出的菜；作動詞，則有‘把菜切碎’的意思。"hash out"則引申為‘將問題分別仔細討論之后，才達成結論’。為美式口語。
If we cannot hash out this problem by Thursday, I'll have to cancel our proposal.
如果我們無法在星期四前把問題談妥，我就得取消本公司的提案。
trial period 試驗（賣）期間
"trial"是‘試驗’；"period"為‘期限；時期’。"trial period"在商業買賣中是指于一段時間內，某一方或雙方必須完成合約中的某項規定，再以此成果作為日后決策的依據。
We'll put this on the market for a two month trial period, to see if there is a good demand for it.
我們推出這項產品，會以兩個月為試賣期，看看市場需求量如何。
develop the market 開發巿場
"develop the market"－－‘開發市場’，有兩層涵義：一是開發新產品的市場；二是針對舊產品拓展新市場，如其它年齡層的消費者或未開發的銷售地區。
Supermarkets here are trying to develop the market for working couples that don't have much time to shop.
此地超市正試圖以沒有太多時間購物的上班族夫婦來開發新市場。
commission rate 傭金
"commission rate"其實就是"commission"，而且后者也較常見。‘傭金’是指代理商、中介商等依成交的金額，照約定的比率酌收回扣。
If I join your sales team, I'd like a base salary of NT $40,000 per month, with a commission rate of 10% on everything I sell.
如果我加入你們的業務部，我要求每月底薪四萬臺幣，再加上百分之十的售貨傭金。
give (someone) a/the thumbs up 同意
"thumb"是‘拇指’。" thumbs up"字面意思是‘豎起拇指’；此語源于羅馬帝國時代，帝王以豎起姆指來表示在競技場中斗敗的武士可免于一死；今則引申為‘通過；同意’的意思。
I can't give you the thumbs up on this project－it would cost too much.
我不能同意這項計劃－－它的花費太高了。
conflict of interest 利益沖突
"conflict"是‘沖突’；"interest"在此不是‘興趣’，而是指‘利益’。"conflict of interest"則為‘利益沖突’，是指個人的利益與對他人的義務發生沖突的情形。
